I.NoticeoftheMeeting TheBoardofDirectorsofJianglingMotorsCorporation,Ltd.(hereinafterreferredtoas“JMC”)sentoutawrittenmeetingnoticetoalltheDirectorsandthemembersoftheExecutiveCommitteeandrelevantpersonsonSeptember18,2026. II.Time,Venue&FormoftheMeeting TheBoardmeetingwasheldintheConferenceCentre,20thfloor,JMCBuilding,NanchangonSeptember29,2026.Theproceduresofconveningandproceedingthemeetingcompliedwiththerelevantlaws,administrativeregulations,departmentalrules,normativedocumentsandtheArticlesofAssociationofJMC. III.StatusoftheDirectorsAttendingtheMeeting Eleven Directors were convened for this Board meeting and nine were present.DirectorYuanMingxuedidnotattendthismeeting,andauthorizedChairmanQiuTiangaotoexercisevotingrightsonhisbehalf.IndependentDirectorChenPingdidnotattendthemeeting,andauthorizedIndependentDirectorYuZhuopingtoexercisevotingrightsonhisbehalf.TheBoardSecretaryattendedthisBoardmeetingasanobserver. IV.Resolutions TheDirectorspresentatthemeetingapprovedthefollowingresolutionsbasedontheirdiscussion: I.Ms.ZhongJunhuahasresignedasFirstExecutiveVicePresidentoftheCompanyduetoreassignment.UponnominationbyPresidentoftheCompany,theBoardofDirectorsapprovedtheappointmentofMr.DingWenminasFirstExecutiveVicePresident. UponnominationbyPresidentoftheCompany,theBoardofDirectorsapprovedtheappointmentofMr.ZengFafaasExecutiveVicePresidentoftheCompanyandasamemberoftheCompany’sExecutiveCommittee.And Mr.ZengFafanolongerservedasVicePresidentoftheCompany. Theabovepersonnelchangesshalltakeeffectfromthedateofapproval.Therewere11votesinfavorofthisproposal,0voteagainst,and0abstention.Mr.DingWenmin’sresume: Mr.DingWenmin,bornin1972,holdsaBachelor’sDegreeinAutomobileExertionfromWuhanUniversityofTechnology,currentlyservesasaStandingCommitteeMember of the Party Committee at JMCG, and is the Secretary of the PartyCommitteeandanExecutiveVicePresidentofJMC.Mr.DingWenminheldvariouspositionsincludingDeputyChiefofProductDevelopmentCenter,DirectorofProductPlanning & Program Management Department, and Assistant President, VicePresidentofJMC,andaDirectorofJMCG. Asofthedisclosuredateofthisannouncement,Mr.DingWenminholdsnosharesintheCompany.Hehasnoaffiliatedrelationshipswithshareholdersholding5%ormoreof the Company's shares, the actual controller, or other Directors and seniormanagementpersonneloftheCompany.Mr.DingWenminhasneverbeenpenalizedbytheChinaSecuritiesRegulatoryCommission(CSRC)orotherrelevantauthorities,norhashereceiveddisciplinarysanctionsfromstockexchanges.HeisnotunderjudicialinvestigationforsuspectedcrimesnorsubjecttoinvestigationbytheCSRCfor suspected violations of laws and regulations. There are no circumstancesdisqualifyinghimfromservingasaseniorexecutiveoftheCompanyundertheCompany Law of the People's Republic of China, the Company's Articles ofAssociation and other applicable provisions. He meets the qualifications for thepositionasrequiredbylaws,administrativeregulations,departmentalrules,normativedocuments,theShenzhenStockExchangeListingRulesandtheCompany'sArticlesofAssociation.UponinquiryviatheNationalCourtEnforcementPublicityPlatformforDishonestPersonsSubjecttoEnforcement,Mr.DingWenminisnotlistedasadishonestpersonsubjecttoenforcement. Mr.ZengFafa’sResume Mr.ZengFafa,bornin1978,holdsaBachelor’sDegreeinAutomotiveEngineeringfromNanchangUniversity,China,andcurrentlyservesasVicePresidentofJMC.Mr.Zeng Fafa held various positions including Deputy Director of Quality ControlDepartment, Director of New Model Program Department, Director of QualityControlDepartment,DirectorofQualityControl&NewModelProgramDepartment,DirectorofManufactureDepartment,andAssistantPresidentforJMC.Asofthedisclosuredateofthisannouncement,Mr.ZengFafaholdsnosharesintheCompany.Hehasnoaffiliatedrelationshipswithshareholdersholding5%ormoreoftheCompany'sshares,theactualcontroller,orotherDirectorsandseniormanagementpersonneloftheCompany.Mr.ZengFafahasneverbeenpenalizedbytheChinaSecuritiesRegulatoryCommission(CSRC)orotherrelevantauthorities,norhashereceived disciplinary sanctions from stock exchanges. He is not under judicialinvestigation forsuspected crimes nor subjectto investigation by the CSRCforsuspected violations of laws and regulations.
